Beazer Homes Prices Public Offering of Common Stock
Atlanta, Ga., January 6, 2010 - Beazer Homes USA, Inc. (NYSE:BZH) (www.beazer.com) today announced that it has priced its previously announced offering of 19,500,000 shares of its common stock at $4.60 per share.
The shares will be issued pursuant to an effective registration statement that has been previously filed with the Securities and Exchange Commission.

Beazer Homes Prices Public Offering of
Mandatory Convertible Subordinated Notes
Atlanta, Ga., January 6, 2010 - Beazer Homes USA, Inc. (the “Company”) (NYSE:BZH) (www.beazer.com) today announced that it has priced its previously announced offering of $50 million aggregate principal amount of its 7 1/2% Mandatory Convertible Subordinated Notes due 2013 (the “Notes”).
On the stated maturity date, each Note, unless previously converted, will automatically convert into shares of the Company’s common stock at a conversion rate of not less than 4.4547 shares of the Company’s common stock per $25 principal amount of Notes and not more than 5.4348 shares of the Company’s common stock per $25 principal amount of Notes, depending on the applicable market value of the Company’s common stock and subject in each case to adjustment.
The Notes will be issued pursuant to an effective registration statement that has been previously filed with the Securities and Exchange Commission.
