On June 1, 2005, Beazer Homes USA, Inc. (the Company) issued a press release announcing that the Company is proposing to offer $300,000,000 in principal amount of Senior Notes due 2015. The offering will be made to certain initial purchasers pursuant to a private placement. A copy of the press release is attached hereto as exhibit 99.01. Beazer Homes Announces $300 Million Senior Notes Offering
ATLANTA, June 1, 2005 - Beazer Homes USA, Inc. (NYSE: BZH) (www.beazer.com) today announced that it is proposing to offer $300,000,000 in principal amount of Senior Notes due 2015. The offering will be made to certain initial purchasers pursuant to a private placement. The initial purchasers have informed Beazer that they will sell or offer the notes within the United States to qualified institutional buyers in accordance with Rule 144A and outside the United States in accordance with Regulation S under the Securities Act of 1933. A portion of the offering proceeds will be used to repay the Companys existing $200 million term loan due 2008, with the remainder to be used for general corporate purposes.
